TERMS OF SERVICE

By creating an account or using any part of the DueTrack Service, you confirm that you have read, understood, and agree to be bound by these Terms of Service. These Terms constitute a legally binding agreement between you ("User") and DueTrack. If you do not agree, you must not access or use the Service.

1. About DueTrack

DueTrack is a cloud-based accounting and due management software designed for small and medium-sized businesses in Bangladesh. It is operated by Monirujjaman Monjil, Gala Union Parishad, Tangail Sadar, Tangail, Bangladesh (Trade License No: 12196163946).

The Service includes:

1. Debtor management and due tracking
2. SMS reminder dispatch to debtors
3. Stock and transaction tracking
4. Profit and loss reporting
5. Cash management (Cashbox)
6. Field expense management with optional location tagging
7. Push notifications via the DueTrack Android and iOS apps

The Service is available at:

1. Website: duetrack.com.bd
2. Web Application: app.duetrack.com.bd
3. Android Application (Google Play Store)
4. iOS Application (Apple App Store)

2. Eligibility

To use DueTrack, you must:

1. Be at least 18 years of age
2. Be a resident of Bangladesh or operate a business registered in Bangladesh
3. Provide accurate and complete registration information
4. Not be prohibited from using the Service under applicable law

By registering, you represent and warrant that you meet all of the above conditions.

3. Account Registration and Security

3.1 Registration

You must register using a valid Bangladeshi mobile phone number. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

3.2 Account Responsibility

You must immediately notify us of any unauthorized use at support@duetrack.com.bd. You must not share your credentials with any other person or create multiple accounts to circumvent any restriction.

3.3 Accuracy of Information

You agree to provide accurate, current, and complete information during registration and to keep it updated at all times.

4. Acceptable Use

You agree to use DueTrack only for lawful business purposes. You must NOT:

1. Send unsolicited, abusive, or harassing SMS messages to third parties
2. Enter false or fraudulent business data
3. Attempt to gain unauthorized access to any part of the Service
4. Use automated scripts, bots, or crawlers to access the Service
5. Reverse engineer or attempt to extract the source code of the web service or any mobile application
6. Remove or modify any proprietary notices or labels
7. Use the Service to violate any applicable law of Bangladesh including the Digital Security Act and the ICT Act
8. Use the Service for money laundering, terrorism financing, or any illegal financial activity
9. Attempt to overload our infrastructure with excessive requests
10. Impersonate any person or entity

Violation of these terms may result in immediate account suspension or termination without refund.

5. SMS Services

5.1 Your Responsibility

When sending SMS reminders through DueTrack, you confirm that:

1. You have a legitimate business relationship with the recipient
2. The phone number belongs to your actual debtor or customer
3. The message content is truthful and not threatening or harassing
4. You have the legal right to contact this person about the debt
5. You comply with applicable Bangladesh telecommunication regulations

5.2 SMS Limits and Delivery

SMS usage is subject to plan-based limits. DueTrack does not guarantee 100 percent SMS delivery due to factors outside our control, including carrier restrictions, recipient network issues, recipient phone status, and regulatory blocks.

5.3 SMS Content Restrictions

You may not use SMS reminders to:

1. Send promotional or marketing content
2. Threaten, harass, or intimidate recipients
3. Send false or misleading financial information
4. Engage in any form of debt collection harassment

6. Location Services (Field Expense Module)

6.1 Optional Feature

The field expense management module includes an optional GPS button that may use your device's location to assist with logging field visit locations. This feature is entirely optional. You can use the field expense module without ever granting location permission by typing locations manually.

6.2 How It Works

When you tap the GPS button:

1. Your device requests location permission (if not already granted)
2. Your current latitude and longitude are obtained ONCE
3. These coordinates are sent to OpenStreetMap Nominatim for reverse geocoding (converting coordinates to a place name)
4. The resulting place name is stored alongside your expense entry
5. No continuous tracking, no background tracking, no movement history is recorded

6.3 Your Control

You can revoke location permissions at any time through your device settings. The Service will continue to function normally without location access.

7. Payment Terms

7.1 Pricing

DueTrack offers a free plan and paid premium plans listed at duetrack.com.bd/#pricing. Prices are in Bangladeshi Taka (BDT) and inclusive of applicable taxes unless otherwise stated.

7.2 Payment Method

Accepted methods include bKash, Nagad, bank transfer, or other methods communicated at the time of purchase. Payment must be completed before premium features are activated.

7.3 Billing Period

Premium subscriptions are billed monthly. Your subscription remains active until the end of the paid period.

7.4 Price Changes

We reserve the right to modify pricing at any time. Existing subscribers will be notified at least 14 days in advance. Price changes do not apply to subscription periods already paid for.

7.5 Auto-Renewal

Subscriptions do not auto-renew unless explicitly opted in by the user. You must manually renew before each billing period.

8. Refund Policy

Please refer to our separate Refund Policy at duetrack.com.bd/refund for complete details regarding eligibility and procedures for refund requests.

9. Intellectual Property

All content, design, code, trademarks, logos, and materials associated with DueTrack are the exclusive property of DueTrack and its owner Monirujjaman Monjil. You are granted a limited, non-exclusive, non-transferable license to use the Service for your personal business purposes only.

You may not:

1. Copy, reproduce, or distribute any part of the Service
2. Create derivative works based on the Service
3. Use our trademarks or logos without express written permission
4. Sublicense or resell access to the Service

10. User Data and Content

You retain full ownership of all business data you enter into DueTrack. By using the Service, you grant DueTrack a limited license to store and process your data solely for the purpose of providing the Service.

We will never:

1. Access, use, or share your business data for any purpose other than delivering the Service
2. Sell your data to third parties
3. Use your data for advertising or marketing without explicit consent
4. Use your data to train AI models or for analytics beyond aggregate, anonymized usage statistics

You are responsible for the accuracy and legality of the data you enter, including ensuring you have the right to store contact information of your debtors and customers.

11. Account Termination and Deletion

11.1 Termination by You

You may request account deletion at any time through:

1. Online Self-Service (Recommended): Visit https://duetrack.com.bd/account-deletion and complete OTP verification
2. Email: Send a request to support@duetrack.com.bd with subject "Account Deletion Request" and your registered mobile number

Termination does not entitle you to a refund for any unused subscription period unless stated in our Refund Policy.

11.2 Termination by DueTrack

We reserve the right to suspend or terminate your account without prior notice if:

1. You violate these Terms
2. You engage in fraudulent activity
3. You fail to pay subscription fees
4. Required by applicable law or court order
5. Your continued use poses a security risk to the Service or other users

11.3 Effect of Termination

Upon termination, all data is permanently deleted as described in our Privacy Policy Section 6, except anonymized audit logs retained for legal compliance.

12. iOS Mobile Application Terms

12.1 Application License

The DueTrack iOS app is licensed, not sold, to you for use strictly in accordance with these Terms of Service.

12.2 Permitted Use

You may:

1. Install and use the app on Apple devices you own or control
2. Use the app to access your DueTrack account
3. Enable optional security features such as Face ID or Touch ID

12.3 Restrictions

You may not:

1. Reverse engineer, decompile, or disassemble the app
2. Remove or modify any proprietary notices
3. Use the app for any unlawful purpose
4. Attempt to circumvent any security measures

12.4 Device Requirements

The DueTrack iOS app requires:

1. iOS 15.0 or later
2. An active internet connection
3. A valid DueTrack account

12.5 Biometric Authentication

If you enable Face ID or Touch ID, you are responsible for managing authorized biometrics on your device. Anyone with enrolled biometrics on your device can access the app. You can disable this feature at any time in the app Settings.

12.6 Session Management

The app maintains login sessions locally on your device for convenience. Sessions may persist between app launches. You can clear sessions manually via the app Settings. Server-side sessions may expire based on inactivity.

12.7 Updates and Maintenance

We may release app updates through the App Store, require updates for continued service access, and perform maintenance that temporarily affects availability. We recommend keeping the app updated at all times.

12.8 Data Backup

You are responsible for maintaining backups of your important business data. The iOS app may cache data locally, but this should not be considered a backup.

12.9 Apple-Specific Terms

In addition to these Terms, you must comply with Apple's App Store Terms of Service.

1. Apple is not responsible for the DueTrack app or its content
2. Apple has no obligation to provide maintenance or support for the DueTrack app
3. Apple is not responsible for any warranty claims related to the app
4. Apple is not liable for any claims relating to the app, including product liability claims, consumer protection claims, or intellectual property infringement claims

12.10 Third-Party Beneficiary

Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to the DueTrack iOS app. Upon your acceptance of these Terms, Apple will have the right to enforce these Terms against you as a third-party beneficiary.

13. Android Mobile Application Terms

13.1 Application License

The DueTrack Android app (package: com.duetrack.bd) is licensed for use through Google Play Store under these Terms.

13.2 Permitted Use

You may install the app on Android devices you own or control and use it to access your DueTrack account.

13.3 Permissions

The Android app may request the following permissions:

1. INTERNET: Required for all functionality
2. POST_NOTIFICATIONS: For push notifications
3. ACCESS_FINE_LOCATION / ACCESS_COARSE_LOCATION: ONLY when you tap the GPS button in the field expense form (optional, foreground only)
4. CAMERA: Optional, for capturing receipt photos
5. READ_MEDIA_IMAGES: Optional, for selecting profile pictures

You may grant or revoke permissions at any time through your Android device settings.

13.4 Google Play Compliance

The Android app complies with Google Play Developer Program Policies. By using the app, you also agree to be bound by the Google Play Terms of Service.

13.5 Updates

Android app updates are distributed through Google Play Store. Some updates may be required for continued service compatibility.

14. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted access. The Android and iOS apps require internet connectivity and access to our web service. We reserve the right to modify, suspend, or discontinue any feature at any time. Reasonable notice will be provided for material changes that affect your use of the Service.

We do not guarantee:

1. 100 percent uptime
2. Compatibility with all devices or operating system versions
3. Continued availability of any specific feature

15. Warranty Disclaimer

The Service, including the Android app and iOS app, is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to:

1. Merchantability
2. Fitness for a particular purpose
3. Non-infringement
4. Accuracy of data
5. Uninterrupted operation

We do not warrant that the Service will be error-free or uninterrupted. You use the Service at your own risk.

16. Limitation of Liability

To the fullest extent permitted by applicable law, DueTrack and its owner shall not be liable for:

1. Loss of business data due to user error
2. Indirect or consequential damages
3. Unauthorized account access due to failure to maintain password security
4. SMS delivery failure due to third-party carrier issues
5. Location data inaccuracies (we rely on device GPS and OpenStreetMap)
6. Any damages arising from the use of the Android or iOS mobile applications including data loss, business interruption, or financial losses

Our total liability shall not exceed the amount you paid us in the three months prior to the claim, or BDT 5,000, whichever is less.

17. Indemnification

You agree to indemnify and hold DueTrack, its owner, and affiliates harmless from any claims, damages, or expenses (including legal fees) arising from:

1. Your use of the Service
2. Your violation of these Terms
3. Your violation of any rights of a third party
4. Your business operations conducted using the Service
5. SMS messages sent through your account

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the People's Republic of Bangladesh. Any dispute shall be subject to the exclusive jurisdiction of the courts located in Tangail, Bangladesh.

Before initiating legal proceedings, you agree to first contact us at support@duetrack.com.bd to attempt good-faith resolution.

19. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and DueTrack regarding the Service.

21. Changes to Terms

We may update these Terms periodically. For material changes:

1. Users will be notified via the app or email at least 7 days before the changes take effect
2. The "Last Updated" date will be updated
3. Significant changes will be highlighted in app notifications

Continued use after the effective date constitutes acceptance of the revised Terms.
